Terms of Service

1. Legally Binding Agreement

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "user," or "seller"), and LabelPrime ("we," "us," or "our"), concerning your access to and use of the www.labelprime.in website as well as any other media form, channel, mobile website, or related software application (collectively, the "Service").

By accessing the Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are expressly prohibited from using the Service and must discontinue use immediately.

2. Software License and Acceptable Use

LabelPrime provides web-based software tools designed to parse, format, crop, and sort shipping documents (PDF files) generated by e-commerce platforms such as Amazon, Flipkart, and Meesho.

  • Grant of License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business operations.
  • Prohibited Activities: You shall not: (a) decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application (including our WebAssembly modules); (b) make any modification, adaptation, improvement, enhancement, translation, or derivative work from the application; (c) remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) posted by us; (d) use the application for any revenue-generating endeavor, commercial enterprise, or other purpose for which it is not designed or intended (e.g., creating a competing service); (e) use the application to process illicit, illegal, or unauthorized documents.

3. User Responsibilities Regarding Third-Party Data

You acknowledge that you are using LabelPrime to process documents that contain Personally Identifiable Information (PII) belonging to your customers. While our tool processes this data locally on your device without uploading it to our servers, you remain solely responsible for complying with the Terms of Service of the respective e-commerce platforms (Amazon, Flipkart, Meesho) and applicable data protection laws regarding how you download, store, and utilize these documents.

LabelPrime acts merely as a local formatting utility. We do not assume any liability for data breaches that occur on your local hardware, local network, or due to your mishandling of the generated PDF files.

4. Subscriptions, Billing, and Renewals

Certain premium features (e.g., advanced SKU sorting, multi-courier segregation, Excel manifest generation) require a paid subscription.

  • Payment Processing: We use secure third-party payment gateways (such as Razorpay). By subscribing, you authorize us to charge your selected payment method for the subscription fees.
  • Auto-Renewal: Unless you cancel your subscription before the end of the current billing cycle, your subscription will automatically renew.
  • Pricing Changes: We reserve the right to change our subscription prices at any time. Any price changes will be communicated to you in advance and will apply to subsequent billing cycles.

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We make no warranties or representations about the accuracy or completeness of the software’s output. E-commerce platforms frequently change their PDF structures without notice. While we strive to update our parsing algorithms promptly, we do not warrant that our service will instantly support undocumented third-party changes.

6. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. (e.g., If a barcode is cropped incorrectly and a package is delayed, our liability is strictly limited to the amount you paid us for the software subscription).

7. Governing Law and Jurisdiction

These Terms shall be governed by and defined following the laws of India. LabelPrime and yourself irrevocably consent that the courts of Gujarat, India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
